Ventas Announces Pricing of Senior Notes Offering

CHICAGO–(BUSINESS WIRE)–Ventas, Inc. (NYSE: VTR) (“Ventas” or the “Company”) announced today
that it has priced a public offering of $450 million aggregate principal
amount of 3.25% Senior Notes due 2026 (the “Notes”) at 99.811% of the
principal amount. The Notes are being issued by the Company’s operating
partnership, Ventas Realty, Limited Partnership, and will be guaranteed,
on a senior unsecured basis, by the Company. The sale of the Notes is
expected to close on September 21, 2016, subject to customary closing
conditions.

The Company expects to use the net proceeds from the offering for
working capital and other general corporate purposes, which may include
the repayment of indebtedness.

Citigroup Global Markets Inc., Barclays Capital Inc., Credit Agricole
Securities (USA) Inc. and Credit Suisse Securities (USA) LLC acted as
joint book-running managers for the offering of the Notes.
